# leita Contributor Licence Agreement, Version 1.0 This agreement is between you and Librium LLC, a Wyoming limited liability company ("Librium"), which produces leita and licenses it under the leita Licence (`LICENSE.md`). It sets out the terms on which Librium may use what you contribute. Read it before you sign. You sign once; it then covers each Contribution you Submit while it is in force. ## 1. Definitions **You** means the individual who signs this agreement. If you sign on behalf of an employer or other entity, You means that entity, as section 7 explains. **Contribution** means any original work of authorship, including any change or addition to an existing work, that You Submit to Librium for inclusion in leita. A Contribution covers only the material You Submit. It does not cover anything You have not yet created or Submitted. **Submit** means to send to Librium or its representatives in any form, by electronic, verbal or written means, including pull requests, patches, issue comments and email, for the purpose of discussing or improving leita. It does not include material You mark in writing as "Not a Contribution". **leita Licence** means the licence under which Librium publishes leita, version 1.0 and any later version. ## 2. Copyright licence You grant Librium a licence to each Contribution. The licence is worldwide, non-exclusive, royalty-free and irrevocable, and it lasts for the full term of copyright in the Contribution. The licence lets Librium do each of the following with the Contribution, in any medium and by any means now known, for commercial and non-commercial purposes: - (a) reproduce it; - (b) adapt, modify, translate and combine it with other works; - (c) distribute it, and copies of works that include it; - (d) make it available to the public, publicly display it and publicly perform it; and - (e) sublicense any of these rights to others. Librium may exercise these rights under the leita Licence, under paid Commercial Licences, and under open-source licences. The licence does not cover types of use that are unknown when You Submit the Contribution. ## 3. Patent licence You grant Librium, and everyone who receives leita from Librium, a licence under any patent claims You own or control that the Contribution necessarily infringes. The infringement may be by the Contribution alone or by its combination with leita as it stood when You Submitted it. The licence lets them make, have made, use, sell, offer to sell, import and otherwise transfer the Contribution and leita. It is worldwide, non-exclusive, royalty-free and irrevocable, except as follows. If anyone sues alleging that the Contribution or leita infringes a patent, the patent licence under this section ends for that person from the date the suit is filed. That includes a cross-claim or counterclaim. ## 4. Librium's promise to You As long as Librium distributes the Contribution, Librium will also make it available under the leita Licence in force when You Submitted it, or a later version of the leita Licence. A later version must grant individuals at least the same free Personal Use rights. Librium will keep a record of Your authorship in the project's history, and will not remove Your name from it. Librium is not obliged to use, merge or distribute any Contribution. ## 5. Moral rights Your moral rights stay with You where the law makes them inalienable. Librium will not remove Your attribution from the project's history. To the extent the law allows, You consent to Librium and its licensees adapting, modifying and combining the Contribution, and publishing it without Your name appearing in the program itself. You agree not to assert moral rights against those acts. ## 6. Your representations You represent that: - (a) each Contribution is Your original work, or You have the right to grant these licences in it; - (b) if Your employer or anyone else has rights in the Contribution, they have permitted You to Submit it on these terms, or have signed this agreement as an entity under section 7; - (c) You have identified, in the Contribution itself, any part that is someone else's work, together with its source and licence; and - (d) You know of no claim that the Contribution infringes anyone's rights. You will tell Librium promptly if You learn that any of these is no longer true. ## 7. Signing for an entity An employer or other entity may sign this agreement by a person authorised to bind it. The entity then names in writing the individuals whose Contributions it covers, and may update that list by notice to Librium. The entity makes the representations in section 6 for those Contributions. ## 8. No warranty and no support Except for the representations in section 6, You provide each Contribution "as is", without warranty of any kind, express or implied. You have no duty to support it. ## 9. Remuneration You receive no payment for a Contribution. Nothing in this agreement excludes any right to equitable remuneration that the law where You live makes non-waivable. ## 10. Term This agreement applies to each Contribution You Submit while it is in force. You may stop it from covering future Contributions by giving Librium written notice. Licences already granted for Contributions Submitted before the notice remain in force. ## 11. Signing and form You may sign this agreement electronically, including through CLA Assistant with Your GitHub account. You agree that doing so is Your signature. For a substantial contribution, Librium may ask You to sign with a handwritten or qualified electronic signature. You may also choose to do so. ## 12. Law This agreement is governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-laws rules. Nothing in it excludes a right that the law where You live makes mandatory. If a court finds any part unenforceable, the rest remains in force. Librium may publish new versions of this agreement.
